ऋणपत्र के हो ?

ऋणपत्र के हो ?


कूल ऋण पूँजीलाई सर्वसाधरण सबैले खरिद गर्न सक्ने गरि स-साना एकाईहरुमा विभाजन गरिएको एकाईहरुलाई ऋणपत्र भनिन्छ । अझै प्रष्ट रुपमा भन्नु पर्दा ऋणपत्र भन्नाले कम्पनीले ऋणमा लगानी गर्ने पक्षलाई ऋणको रकम, ब्याजदर र भुक्तानी विधि, अचल जायजेथा धितो राखेको भए सोको अवस्था आदि शर्तहरु उल्लेख गरि आधिकारिक रुपमा गरिदिएको लिखित पत्र हो ।

यसरी कम्पनीले सार्वजनिक सूचना प्रकाशन गरि कम्पनीको अचल जायजेथा धितो वा बन्धक राखि वा नराखी ऋण पूँजी उठाउन सक्छ । यसमा लगानी गर्ने लगानीकर्ताले आफुले गरेको लगानी रकममा तोकिएको ब्याजदर प्राप्त गर्दछन् । साधारण सेयर र अग्राधिकार सेयरधनीलाई लाभांश दिनुअघि नै ऋणपत्रका लगानीकर्ताले ब्याज प्राप्त गर्दछन् ।

संगठिक संस्था नोक्सानीमा गएपनि लगानीकर्ताले प्राप्त गर्ने ब्याज भने प्राप्त गर्दछन् कुनै बाधा पर्देन । कथमकदाचित कम्पनीले ऋणपत्र जारी गर्दा तोकिएको दर र समयमा प्राप्त गर्न असमर्थ भएमा ऋणपत्रमा लगानी गर्ने लगानीकर्ताले कम्पनीलाई खारेजीमा पठाउनका लागि कारवार्ही समेत चलाउन सक्दछन् ।  प्राय जोखिम लिन नचाहने लगानीकर्ताका लागि ऋणपत्रमा लगानी उत्तम विकल्प हो ।

ऋणपत्र खरीद गर्दा हुने फाइदा

कम्पनीहरुले अर्धवाषिर्क र बार्षिक रुपमा ब्याज भुक्तानी गर्ने गर्छन् । जसले गर्दा यस डिबेन्चरमा जम्मा भएको रकमले कुनै आम्दानी नगरे पनि बार्षिक रुपमा दिने भनीएको ब्याज प्रदान गर्ने ग्यारेन्टी गरिएको छ । ऋणपत्रमा लगानी गर्दा लगानीकर्ता (ऋणपत्र धनी)ले कम जोखिममा वार्षिक रुपमा निश्चित प्रतिशत ब्याज प्राप्त गर्न सक्छन् । जसले गर्दा बचत तथा मुद्दती खाताहरुमा भईंरहने ब्याज दर परिवर्तनले हुने जोखिम यसका लगानीकर्ताले उठाउनु पर्दैन ।

कम्पनीले साधारण शेयर र अग्राधिकार शेयरका लगानीकर्ताहरुलाई लाभांश वितरण गर्नुअघि ऋणपत्र धनीलाई ब्याज दिनुपर्छ । कम्पनीले नोक्सानमा गएको बर्ष शेयर लगानीकर्ताहरुलाई लाभांश नबाड्ने भए पनि ऋणपत्र धनीलाई अनिवार्य रुपमा ब्याज भुक्तान गर्नुपर्छ ।

शेयरजस्तै डिबेन्चर धितोपत्र बजारमा पनि सुचिकृत हुने हुदा सजिलै किनबेच गर्न सकिन्छ । अन्य बैंकहरुमा धितो राखेर ऋण लिन सकिने र निर्धारीत अवधि समाप्त भएपछि एकमुष्ठ भुक्तानी पाईने भएकाले लगानीकर्ताहरुलाई दीर्घकालीन रुपमा फाइर्दा नै हुनेछ ।

रकम फिर्ता हुने ऋणँपत्र (रिडिमेबल डिबेञ्चर) तोकिएको समयमा साँवा र ब्याज भुक्तानी गर्ने शर्तमा निष्कासन गरिएको हुन्छ, जसले गर्दा लगानीकर्ताले साँवा रकमसमेत फिर्ता पाउछन् ।

 त्यसैगरी, कतिपय ऋणपत्र शेयरका रुपमा परिणत हुने खालका समेत हुन्छन् । तर, नेप्सेमा सूचीकृत भएका ऋणपत्रको कारोबार नभएकाले ती ऋणपत्रको मूल्य स्थिर रहन्छ । बार्षिक रुपमा एकनासको आम्दानी ढुक्कले चाहने लगानीकर्ताहरुका लागि यो ऋण पत्र लगानीको उत्तम विकल्प हुने देखिएको छ

Nepal Rastra Bank (NRB), the Central Bank of Nepal, was established in 1956 under the Nepal Rastra Bank Act, 1955, to discharge the central banking responsibilities including guiding the development of the embryonic domestic financial sector. Since inception, there has been a significant growth in both the number and the activities of the domestic financial institutions.
To reflect this dynamic environment, the functions and objectives of the Bank have been recast by the new NRB Act of 2002, the preamble of which lays down the primary functions of the Bank as:
  • to formulate necessary monetary and foreign exchange policies to maintain the stability in price and consolidate the balance of payments for sustainable development of the economy of Nepal;
  • to develop a secure, healthy and efficient system of payments;
  • to make appropriate supervision of the banking and financial system in order to maintain its stability and foster its healthy development; and
  • to further enhance the public confidence in Nepal's entire banking and financial system.
The Bank is eminently aware that, for the achievement of the above objectives in the present dynamic environment, sustained progress and continued reform of the financial sector is of utmost importance. Continuously aware of this great responsibility, NRB is seriously pursuing various policies, strategies and actions, all of which are conveyed in the annual report on monetary policy.

BIMSTEC - Bay of Bengal Initiative for Multi-Sector Technical and Economic Co-operation


On 6th June 1997, a new sub regional grouping was formed on Bangkok, Capital city of Thailand. It was given the name BIST-EC (Bangladesh, India, Sri lanka and Thailand Economic Co-operation). Myanmar joined the organization as a full member at a special ministerial meeting held in Bangkok on 22th December 1997, upon which the name of grouping was named to BIMST-EC. Nepal and Bhutan has acquired its membership in 2004 in the first summit on 31st July 2004. The grouping was named BIMSTEC - Bay of Bengal Initiative for Multi-Sector Technical and Economic Co-operation.
       BIMSTEC is a unique link between ASEAN (Association of South East Asian Countries) and SAARC (South Asian Association for Regional Co-operation). It is because it has linked South Asia and East Asia. Leadership is rotated in alphabetical order of country names. The permanent secretariat is in Dhaka, Bangladesh.

Provide assistance to each other in the form of training and research facilities, co-operate more effectively in joint efforts that are supportive of the complementary to national development plans to maintain close and beneficial co-operation with existing international and regional organization.
  5. To co-operate in the projects that can be deal with must productively as a sub regional basis and which make best use of available energy

Functions of BIMSTEC

  1. To implement the agreements made by member countries
  2. Work as a forum for the co-operation of the member countries in the specific areas
  3. To provide assistance to one another between member countries
  4. To increase the co-operation with international and national organization with similar goals and objectives

Nepal to propose BIMSTEC meet for August

BIMSTEC - Bay of Bengal Initiative for Multi-Sector Technical and Economic Co-operation
Nepal is to propose to hold the Bay of Bengal Initiative for Multi-sectoral Technical and Economic Cooperation or BIMSTEC summit on coming August end or early September.
The meeting today of the Council of Ministers held at Singha Durbar decided to propose to BIMSTEC member-states to hold the summit either on August 30 and 31 or on September 6 and 7, according to Minister for Communications and Information Technology Gokul Prasad Banskota. Accordingly, a Sub-committee will be formed for the same.
Nepal is presently the chair of BIMSTEC, a regional body founded in July 1997.

Credit Information Bureau of Nepal


Karja Suchana Kendra Limited is one of the oldest Credit Information Bureau in the SAARC region and was established in May 1989 with the sole objective of restraining the growth of the Non Performing Assets of the Banking and Financial sector of the country that was increasing alarmingly during the period. Later, it got registered as the Company in 2004 under the Company Act 2053 and started its operation as the independent and autonomous entity from March 2005. It operates through provisions made in NRB Act 2058, Article 88. It is a public limited company with banks and financial institutions holding majority of equity (90%) while the rest (10%) is held by Nepal Rastra Bank. KSKL currently has 62 promoter shareholders including 22 commercial Banks, 7 Development Banks, 32 Finance Companies and Nepal Rastra Bank.

Registered Members
As per the Nepal Rastra Bank Regulation, all banks and financial institutions that are registered in Nepal Rastra Bank and engaged in credit lending of Rs. 1 million and above facility must be registered in Kendra as its member. Only the registered members can avail the credit reports and other credit information service provided by Kendra.
There are altogether 135 banks and financial institutions that are registered as members of Kendra. The detail statistics of the number of registered members in each category is as follows:
